Business Law


I assist clients with a wide variety of business matters including simple company formations, ownership structures, methods for succession planning, and the sale and purchase of going concern businesses. I regularly assist with structuring the relationships among business owners through shareholder (buy-sell) and operating agreements and conflict resolution which sometimes arises . I draft and negotiate contracts for most business matters including employment agreements, compensation arrangements, and commercial transactions such as the purchase and sale of manufacturing equipment. Business clients include small to medium sized businesses in manufacturing, construction, medicine, bio-technology, aquaculture, accounting, and even other law firms.


 

Commercial Real Estate


The purchase, sale, and leasing of commercial real estate can appear to be overwhelmingly complex and fraught with pitfalls. My philosophy is to simplify transactions to the greatest extent possible ensuring timely, cost effective completion with appropriate risk minimization. Purchase agreements, bank financing, leases, and ownership structures are the core elements of this practice area.

 

Estate Planning


Thoughtfully prepared wills, trusts, powers of attorney, and medical directives are the building blocks of estate plans. I ask each client to describe their desired outcome and work to prepare an estate plan which meets their needs.
